These Terms of Service (“Terms”) govern your access to and use of the Gonka Broker service (“Service”) operated by Woodenshark LLC, a Delaware limited liability company (“Woodenshark,” “we,” or “us”).
By using the Service, you agree to these Terms and to comply with all applicable laws
and regulations.
If you do not agree, you may not access or use the Service.
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. By creating an account, you represent that you meet these requirements.

Gonka Broker is a payment and account-management platform that enables users to purchase batches of Inference Tokens for the decentralized compute network Gonka.ai using traditional (fiat) payment methods.
The Service provides:
Gonka Broker does not itself perform AI inference, execute compute workloads, or generate model outputs. All inference operations are performed externally by the Gonka.ai network or its participating nodes.
To use the Service, you must create an account and provide accurate information.
API Keys generated by the Service enable your access to inference functionality offered by the Gonka.ai network. You are responsible for keeping your API Keys confidential and for all activity performed using them.
The Service does not offer wallet-custody or digital-asset-management services and does not expose the internal mechanisms used for interacting with the Gonka.ai network.
All fiat payments are processed exclusively through third-party payment processors such as Stripe.
Gonka Broker does not store or process credit card numbers, payment methods, billing details, or similar sensitive financial information. All payment data is handled directly by the payment processor in accordance with its security standards.
Token batches purchased through the Service are prepaid and non-refundable unless required by
law.
The price paid applies solely to the purchased batch and remains valid until
the purchased tokens are fully spent.
Tokens are credited to your account and become available immediately upon payment — the purchase is fulfilled at the moment of payment. For EU consumers this constitutes immediate performance of the contract with your acknowledgement, and the statutory 14-day withdrawal right expires once the tokens are credited.
Closing or deleting your account does not entitle you to a refund of a correctly and intentionally completed purchase, and any unused balance is forfeited when the account is deleted. This never applies to mistakes: if a payment was erroneous, duplicated, or unauthorized, contact support and we will investigate and refund where appropriate.
Gonka Broker functions solely as a payment gateway and accounting interface. It does not control the performance, uptime, or behavior of the Gonka.ai inference network.
Gonka Broker may offer free usage credits at its sole discretion. We may grant or decline, modify, or discontinue such credits at any time, in whole or in part, without prior notice, and may revoke them in cases of abuse.
Free credits have no monetary value and cannot be refunded, exchanged for cash, or transferred. Purchased tokens are not affected by changes to free credits.
Gonka Broker may offer a referral program under the terms of this section. Every registered user has a personal referral link. A person who registers a new account after following a referral link (a “referred user”) is attributed to the link owner (the “referrer”) once, at registration, based on the most recently followed link; attribution is permanent and cannot be transferred. Self-referral — registering additional accounts through your own link, directly or indirectly — is prohibited.
A “qualifying payment” is a completed payment for service balance made by a referred user through our payment processor. Free-tier allocations, promotional credits, referral bonuses, and other non-monetary balance are not qualifying payments; a payment that is refunded or charged back ceases to be one.
A referred user’s first qualifying payment is matched with bonus tokens: the bonus equals the tokens purchasable, at the same rate as the payment itself, for 100% of the payment amount up to a maximum of $100. The bonus is granted once per account, at the time the first qualifying payment is processed.
A referrer earns a reward equal to 10% of each qualifying payment made by their referred users. Rewards become payable after a hold period of 7 days and are issued periodically (approximately weekly) as a single-use promotional code sent to the referrer’s account email; promotional codes are redeemable for service balance only and expire 90 days after issuance. There is no minimum payout threshold and no limit on the number of referred users or the total reward amount.
Referral bonuses, rewards, and promotional codes have no monetary value, are non-transferable, and cannot be redeemed for cash. We may void accrued rewards and deactivate unredeemed codes that correspond to payments which are refunded, charged back, or determined by us to be fraudulent, and may exclude from the program any user who engages in self-referral, multi-account registration, unsolicited (spam) promotion, or other abuse. You are responsible for any taxes arising from rewards you receive.
The program runs from August 1, 2026 through July 31, 2027 and may be renewed at our discretion, with corresponding updates to this document.
Gonka Broker may from time to time offer promotional programs — including usage rebates, bonuses, and other balance credits — under eligibility criteria published on our website or in the application. Each program’s published criteria, as in effect at the time of crediting, determine qualification.
All program benefits are credited exclusively as service balance. They have no monetary value, are non-transferable, cannot be redeemed, exchanged, or substituted for cash or any other form of payment, and expire together with the account.
We may open, suspend, close, or cancel any program, and may change its terms — including thresholds, percentages, and eligibility criteria — at any time at our sole discretion. Changes apply prospectively from the moment the updated criteria are published. Participation in a program does not create an entitlement to future benefits, and no credit is owed until it has actually been applied to an account.
We may withhold or void any benefit connected to usage or payments that are refunded, charged back, or determined by us to be fraudulent or artificially generated, and may exclude any account from any program for abuse. Accounts that are blocked, scheduled for deletion, or operating under individually negotiated terms do not participate unless a program’s published criteria state otherwise.
Gonka Broker stores only the operational data necessary to provide the Service, such as account details, API Keys, token balance information, and usage metrics.
We do not store inference prompts, responses, or other content processed by the Gonka.ai network.
We may collect limited analytics or metadata as described in our Privacy Policy.

Your use of the Service indicates agreement to comply with the terms and policies of
these third parties.
Woodenshark LLC is not responsible for availability, limitations, or changes
introduced by external providers.
All software, content, and technology forming Gonka Broker are owned or licensed by Woodenshark LLC.
You retain ownership of your account data, purchased tokens, and usage metadata.
The Service is provided “as is” and “as available”, without warranties of any kind.

We disclaim all implied warranties to the fullest extent permitted by law.
To the fullest extent permitted by law, Woodenshark LLC, its affiliates, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service.
Our total aggregate liability for any claim under these Terms shall not exceed USD $100.
We may suspend or terminate your access to the Service at any time if you violate these Terms or if continued access poses legal, security, or operational risks.
Upon termination, your API Keys may be disabled and you must stop using the Service immediately.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
All disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, USA.
We may update or modify these Terms to reflect service changes or legal
requirements.
Material updates will be communicated via the Service or email before they take
effect.
Continued use after such updates constitutes acceptance of the revised Terms.
