Terms of Service

Introduction

These Terms of Service (“Terms”) govern your access to and use of the Gonka Broker service (“Service”) operated by Woodenshark LLC, a Delaware limited liability company (“Woodenshark,” “we,” or “us”).

By using the Service, you agree to these Terms and to comply with all applicable laws and regulations.
If you do not agree, you may not access or use the Service.

Description of Service

Gonka Broker is a payment and account-management platform that enables users to purchase batches of Inference Tokens for the decentralized compute network Gonka.ai using traditional (fiat) payment methods.

The Service provides:

The ability to purchase fixed-price token batches. The purchase price applies to the exact number of tokens in the batch and remains fixed until those tokens are fully consumed, regardless of how long this takes.
Automated issuance and management of API Keys that allow users to access inference endpoints provided by the Gonka.ai network.
Usage statistics, token consumption tracking, and balance information.

Gonka Broker does not itself perform AI inference, execute compute workloads, or generate model outputs. All inference operations are performed externally by the Gonka.ai network or its participating nodes.

Account Access and Authentication

To use the Service, you must create an account and provide accurate information.

API Keys generated by the Service enable your access to inference functionality offered by the Gonka.ai network. You are responsible for keeping your API Keys confidential and for all activity performed using them.

The Service does not offer wallet-custody or digital-asset-management services and does not expose the internal mechanisms used for interacting with the Gonka.ai network.

Payments

All fiat payments are processed exclusively through third-party payment processors such as Stripe.

Gonka Broker does not store or process credit card numbers, payment methods, billing details, or similar sensitive financial information. All payment data is handled directly by the payment processor in accordance with its security standards.

Token batches purchased through the Service are prepaid and non-refundable unless required by law.
The price paid applies solely to the purchased batch and remains valid until the purchased tokens are fully spent.

Gonka Broker functions solely as a payment gateway and accounting interface. It does not control the performance, uptime, or behavior of the Gonka.ai inference network.

Data Handling and Privacy

Gonka Broker stores only the operational data necessary to provide the Service, such as account details, API Keys, token balance information, and usage metrics.

We do not store inference prompts, responses, or other content processed by the Gonka.ai network.

We may collect limited analytics or metadata as described in our Privacy Policy.

User Responsibilities

You agree to:

Keep your account information and API Keys secure
Ensure you have sufficient token balance to perform inference
Use the Service lawfully and without attempting to circumvent billing or security mechanisms

You may not:

Manipulate token accounting or evade payment obligations
Interfere with the operation of the Service
Engage in fraudulent, harmful, or illegal activities

Third-Party Services

The Service integrates with:

Stripe or similar processors for handling fiat payments
Gonka.ai for token accounting and inference access

Your use of the Service indicates agreement to comply with the terms and policies of these third parties.
Woodenshark LLC is not responsible for availability, limitations, or changes introduced by external providers.

Intellectual Property

All software, content, and technology forming Gonka Broker are owned or licensed by Woodenshark LLC.

You retain ownership of your account data, purchased tokens, and usage metadata.

Disclaimer of Warranties

The Service is provided “as is” and “as available”, without warranties of any kind.

Woodenshark LLC does not guarantee:

Continuous or error-free operation of the Service
Performance, accuracy, or availability of the Gonka.ai network
That external systems will function without interruption

We disclaim all implied warranties to the fullest extent permitted by law.

Limitation of Liability

To the fullest extent permitted by law, Woodenshark LLC, its affiliates, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service.

Our total aggregate liability for any claim under these Terms shall not exceed USD $100.

Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or if continued access poses legal, security, or operational risks.

Upon termination, your API Keys may be disabled and you must stop using the Service immediately.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.

All disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, USA.

Changes to These Terms

We may update or modify these Terms to reflect service changes or legal requirements.
Material updates will be communicated via the Service or email before they take effect.
Continued use after such updates constitutes acceptance of the revised Terms.
